END USER LICENSE AGREEMENT (EULA) FOR KEMICARD##Last Updated: Feb 20, 2025##This End User License Agreement ("Agreement") is a legal agreement between you ("User" or ##"Licensee") and Kemisoft Group Ltd. ("Company," "we," "us," or "our") for the use of Kemicard ##("Software"). By installing, accessing, or using Kemicard (Kemi Card or Chemicard), you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.####1. GRANT OF LICENSE## 1.1. License Grant: Subject to the terms of this Agreement, the Company grants the User a ## limited, non-exclusive, non-transferable, and revocable license to use Kemicard solely for## digital membership and engagement management within Salesforce.#### 1.2. Restrictions: The User shall not:## Modify, copy, distribute, sublicense, or sell the Software;## Reverse engineer, decompile, or disassemble any part of the Software;## Use the Software for any illegal or unauthorized purposes;## Remove any proprietary notices or labels from the Software.#### 1.3. Subscription-Based Access: The Software is licensed on a subscription basis. Access ## may be suspended or terminated for non-payment.####2. INTELLECTUAL PROPERTY## 2.1. Ownership: The Software, including all copyrights, trademarks, and proprietary rights, ## remains the exclusive property of the Company.#### 2.2. Feedback: Any feedback provided by the User may be used by the Company without ## restriction or compensation.####3. SALESFORCE INTEGRATION## 3.1. Third-Party Services: Kemicard integrates with Salesforce and third-party services such## as Google and Apple Wallets. The Company is not responsible for any disruptions or ## changes in service caused by these third parties.#### 3.2. Data Storage and Transfer: The User acknowledges that data processed within ## Kemicard may be stored and transferred within Salesforce and other third-party services ## used in digital membership and event management.####4. USER RESPONSIBILITIES## 4.1. Account Security: The User is responsible for maintaining the security of their ## Salesforce account credentials.#### 4.2. Compliance: The User must comply with all applicable laws and regulations in their use ## of the Software.####5. SUPPORT AND MAINTENANCE## 5.1. Service Availability: The Company provides support services via email, Slack, and ## Microsoft Teams during designated support hours (24/5 availability).#### 5.2. Software Updates: The Company may, at its discretion, provide updates or ## enhancements to Kemicard. The User must install updates to ensure continued ## functionality.####6. LIMITATION OF LIABILITY## 6.1. No Warranty: Kemicard is provided "as is" and "as available," without warranties of any## kind, including but not limited to implied warranties of merchantability or fitness for a ## particular purpose.## 6.2. Limitation of Liability: In no event shall the Company be liable for any indirect, ## incidental, or consequential damages arising from the use or inability to use Kemicard.####7. TERMINATION## 7.1. Termination by the Company: The Company reserves the right to suspend or terminate ## the User's license if they violate this Agreement.#### 7.2. Termination by the User: The User may terminate this Agreement by discontinuing use ## of Kemicard.####8. GOVERNING LAW AND DISPUTES## 8.1. Governing Law: This Agreement shall be governed by and construed in accordance with## the laws of Alberta.#### 8.2. Dispute Resolution: Any disputes shall be resolved through arbitration in Alberta, unless## otherwise required by law.####9. GENERAL PROVISIONS## 9.1. Entire Agreement: This Agreement constitutes the entire agreement between the User ## and the Company regarding the Software.#### 9.2. Amendments: The Company may modify this Agreement, and continued use of ## Kemicard after modifications constitutes acceptance of the new terms.#### 9.3.
