Financial Conditions and Reversibility
1 - Pricing and invoicing terms
Invoicing will be established on the basis:
- of a monthly subscription per number of users of the Client, and
- the volume of Archives transferred per users of the Client.
The cost of the EDA Service is 26 (twenty-six) euros excl. VAT per month and per user of the Client in the case of a number of users below or equal to 10 (ten) and 20 (twenty) euros excl. VAT per month and per user of the Client in the case of a number of users exceeding 10 (ten).
This cost includes a maximum volume of Archives, per user of the Client, of 1 (one) Gigabyte (GB), within the maximum limit of 50,000 Archives.
The cost for “read only” users are 10 (ten) euros exc. VAT per month and per user with no additional volume of archives included.
In addition, the Client in its capacity as a legal entity, also has a maximum volume of Archives of 1 (one) Gigabyte (GB), within the maximum limit of 50,000 Archives.
In order to allow it to test the Service before committing to it, the Client will have a free trial period of 30 calendar days starting from the acceptance date of these General Terms and Conditions.
The invoice will be drawn up from the Activation of the licence by the Administrator of the Application.
This invoicing is drawn up for a period of 12 (twelve) months in advance and is payable in under thirty (30) calendar days, from when the invoice is issued, by transfer into the Company’s bank account. Any delay or failure to pay on the due date, results as of right in the application of default interest calculated at the rate of three times the legal interest rate.
Any due period started is due and any amount paid by the Client is irrevocably acquired by the Company and non-refundable.
When the volume limit of 1 GB (or threshold of 50,000 Archives per GB) is reached, the Client will receive a notification, by any means, stating that this threshold has been reached and offering it the option to subscribe to an extension of additional volume.
The financial conditions of this volume extension are the following:
- Extension of 1 (one) Gigabyte (GB), within the maximum limit of 50,000 Archives = €15 (fifteen) euros excl. VAT per month,
- Extension of 10 (ten) Gigabytes (GB), within the maximum limit of 500,000 Archives = €90 (ninety) euros excl. VAT per month,
- Extension of 100 (one hundred) Gigabytes (GB), within the maximum limit of 5,000,000 Archives = €500 (five hundred) euros excl. VAT per month,
- Extension of 500 (five hundred) Gigabytes (GB), within the maximum limit of 25,000,000 Archives = €1300 (one thousand three hundred) euros excl. VAT per month.
Failing subscription to a volume extension, the Client’s user can consult his Archives but it will no longer be possible for him to transfer new Archives.
The Client can also subscribe to an extension of the number of users of the Application. The financial conditions of this extension are 35 (thirty-five) euros excl. VAT per month and per new user of the Client in the event that the total number of users (including those corresponding to the extension) would remain below or equal to 10 (ten), and 29 (twenty-nine) euros excl. VAT per month and per user of the Client in the event that the total number of users would become, by effect of this extension, greater than 10 (ten).
This cost includes a maximum volume of Archives, per new user of the Client, of 1 (one) Gigabyte (GB), within the maximum limit of 50,000 Archives.
These extensions of volume and/or the number of users are carried out by the Administrator of the Application in the “CFE Admin / Licence” menu of the Application.
2 - Price changes
The Client declares to be informed that the financial conditions stated above are likely to change on the Company’s initiative.
In the event of an increase in the price conditions initiated by the Company, the Client will be notified under the conditions stipulated in article 3 above. If the new price conditions are not disputed within a period of eight (8) calendar days from sending the information to the Client, it will be deemed to have unreservedly accepted the new prices. In the event that the Client refuses the new prices within the aforementioned time period, it can terminate the contract by registered letter with acknowledgement of receipt in return for (i) complying with a notice period of thirty days and (ii) the payment of all sums due.
3 - Reversibility
Archives can be returned to the Client, on its express request and at the end of contractual relations, on the triple condition:
- that it has paid all of the sums due, including those linked to the Retrieval requested;
- that it formulates in a formal way (by registered letter with acknowledgement of receipt) its Retrieval request the day of the actual cessation of contractual relations, strict deadline,
- that its request concerns all of the Archives.
The Client will have a period of 45 (forty-five) calendar days from receipt of the registered letter by the Company to retrieve its Archives in the menu of the Application provided for this purpose.
On the Client’s express request, the Archives can be returned to it on a removable medium (CD-ROM, DVD-ROM, etc.). This service will be billed by the Company at the price of €85 excl. VAT/removable medium.
The Retrieval by the Company will free the latter from its obligation to store the Archives.
Failing retrieval by the Client of its Archives within the period stated above, the Company will destroy all of the Archives in question without its liability being able to be incurred.
4 - Exceeding the limit of file storage
The Company reserves the right, at any time, to pass on the additional costs of storing files linked to exceeding the limit stipulated by the Salesforce “Versions and prices” contractual conditions that are located on the Salesforce website (www.salesforce.com) under the “Application” menu, the “Versions and Prices” sub-menu, “Force.com” heading, “file storage” paragraph.
The Company undertakes to inform the Client by any means of these additional costs and will pass on the said additional costs on the next invoice.
