ARPEDIO – General Terms and Conditions. ##ARPEDIO Solutions Terms of Service - native SFDC © 2020 ARPEDIO Solutions ApS.##All Rights Reserved SFDC is trademark of Salesforce.com, registered in U.S. and other countries. This agreement is between The Customer and ARPEDIO. The Customer acknowledges that the Service is hosted for ARPEDIO by salesforce.com as a Managed Package. By agreeing to these terms the customer confirm that The Customer accept and agree to abide by the Salesforce.com Platform Terms of Use between The Customer and Salesforce.com. By installing the ARPEDIO Sales app using the services on ARPEDIO Solutions web site or by using the services in the ARPEDIO Sales app ("Service") from the Salesforce AppExchange the Customer are agreeing to be bound by the following terms and conditions ("Terms of Service"). "ARPEDIO" is ARPEDIO Solutions Aps, a corporation established under Danish law, commercial register code ## (CVR) 34219591, with address on Svanemoellevej 41, DK-2900 Hellerup, Denmark and any of their legal registred subsidiaries. ARPEDIO reserves the right to update and change the Terms of Service from time to time without notice. Any new features that augment or enhance the current Service, including the release of new tools and resources, shall be subject to the Terms of Service. Continued use of the Service after any such changes shall constitute the Customer consent to such changes.######1. Basic Terms##If the Customer do not agree, the Customer should decline this Agreement and immediately stop using the Service. Access to the Service is permitted only to those that fully agree with the terms and conditions of this Terms of Service agreement. The Customer agree that this Terms of Service Agreement and the relationship between the parties shall be exclusively governed by the laws of Denmark without regard to conflict of law principles, or international conventions. The Customer login may only be used by one person – a single login shared by multiple people is not permitted. The Customer may create separate logins for as many people as the Customer plan allows and managed by the Customer in the installed Package configuration. The Customer is responsible for maintaining the security of the Customer account and password. ARPEDIO cannot and will not be liable for any loss or damage from the Customer failure to comply with this security obligation. The Customer may not use the Service for any illegal or unauthorized purpose. The Customer must not, in the use of the Service, violate any laws in the Customer jurisdiction (including but not limited to copyright laws).####2. Pricing, Subscriptions, Refunds, Cancellation and Termination##Services are sold on a subscription basis and can be cancelled with 30 days notice to the end of a subscription period. Subscriptions are sold as 12-months subscriptions. The Service is billed in advance and is non-refundable. There will be no refunds or credits for partial periods of service, upgrade/downgrade refunds, or refunds for unused time periods with an open account. All fees are inclusive of all taxes, levies, or duties imposed by taxing authorities if not stated otherwise. There is a free 30 day basic trial for all single user plans. No credit card required for signing up. An email and Salesforce userID is required in the trial registration process. We will use this e-mail in order send a welcome email, news and update. The Customer is solely responsible for properly removing the managed package from the SFDC org. related to the Customer account. If the Customer cancel the Service before the end of the Customer current paid up period, the Customer cancellation will take effect at period end and the Customer will not be charged again.####3. Modifications terms##Prices of all Services, including but not limited to subscription plan fees to the Service, are subject to change upon 30 days notice from ARPEDIO. Such notice may be provided at any time by posting the changes to the ARPEDIO web-site or by email notification. ARPEDIO shall not be liable to the Customer or to any third party for any modification, price change, suspension or discontinuance of the Service. The Customer acknowledges and agrees that the form and nature of the Service may change from time to time without prior notice to The Customer due to the fact that ARPEDIO is constantly innovating and improving the Service. The Customer can choose not to install upgrades from ARPEDIO on the managed package. ####4. Content terms & intellectual property##ARPEDIO’s Content is protected by copyright. The Customer many not copy, distribute, modify, rent, lease, loan, sell distribute, create derivative works, reverse engineer, decompile or otherwise attempt to extract the source code of the Service or any part thereof without the copyright owner's permission. ARPEDIO claim no intellectual property rights over the material the Customer provide to the Service. The Customer profile and materials uploaded remain the Customers. The Customer undertakes not to create, transmit, display or make otherwise available any Content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, invasive of another's privacy, or hateful (incl. viruses, worms and any other destructive codes).####5. Support##Technical support is available via email on support@arpedio.com and the support forum on our web site. Customer issues are handled via tiered customer support with service target of max. response times on 24 hours. No warranties (incl. for satisfactory quality, fitness for purpose or conformance with description) apply to the Service.####6. Data Storage##All the Customer’s data are stored and utilized in Customer’s own SFDC instance, and Data are encrypted as such. ARPEDIO does not store any data on behalf of the Customer and ARPEDIO do not have any access to the Customer’s data. ARPEDIO continuously strives to minimize the data storage needs from the Service.####7. Security Reviews##The Service has been reviewed and approved by SFDC prior to it being made available on the AppExchange. In addition, SFDC performs periodic (typically anywhere between 6 months and 2 years), point-in-time review. When ARPEDIO uploads a new package version to the AppExchange, SFDC automatically run a source code analysis against the Force.com code to identify potential security vulnerabilities. If issues are identified, ARPEDIO is requested to address issues immediately. SFDC reserve the right to conduct random security penetration tests on partner applications at any time. If they find that partners have deviated from the security standards and best practices, SFDC may remove their application from the Appexchange. General Conditions##ARPEDIO is not liable for any direct, indirect or consequential damage (incl. loss of profit, loss of data, loss of goodwill or business reputation) of The Customer, which may be incurred to The Customer in relation with the Service. The Customer must not modify, adapt or hack the Service or modify another website so as to falsely imply that it is associated with the Service. The Customer understand that service provider uses SFDC to provide the necessary hardware, software, networking, storage, and related technology required to run the Service. The Customer agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission by Service Provider. The Customer must indemnify ARPEDIO, its officers, directors, employees, agents, licensors, suppliers, etc. for any and all claims, liabilities, losses, expenses, damage and costs, including attorney's fees, resulting from the breach of the Agreement, and from the activities on The Customer Account. The Customer agrees that ARPEDIO may provide The Customer with notices, including those regarding changes to the Agreement, by email, regular mail, or postings on the Service. Any disputes related to the Agreement are to be solved by means of negotiations. If the dispute cannot be solved by means of negotiations, the dispute shall be solved within the legal system in Denmark. We are familiar with the intent and prohibitions of international anticorruption laws, such as the U.S. Foreign Corrupt Practices Act, the UK Bribery Act, and similar laws of other countries that prohibit the payment of bribes, kickback, or otherwise unauthorized benefits or advantages. In full compliance with these laws, Company has not corruptly made, offered, or authorized; and will not make, offer, or authorize, directly or indirectly, any payment or anything of value to a Government Official or to any other person while knowing that all or a portion of such thing of value has or will be offered, given, directly or indirectly, to a Government Official, to obtain or retain business or any improper business advantage, influence decisions, or direct business to any party. ####10.
