Security & Access Manager - Supplementary Terms##These terms shall apply in respect of the Non-SFDC Application service known as Security & Access Manager (the “Service”) and are supplementary to the terms of Your Master Subscription Agreement. By using the Service You agree these terms shall apply in relation to such use. Terms used herein but not defined otherwise have the meaning given in Your Master Subscription Agreement. ##All intellectual property rights (including copyright) in the Service as defined in these terms, the name “Security & Access Manager” and the associated logo, in each case belong to Application Perfection Limited (the “Application Owner”) or its licensors.##The Application Owner agrees to keep Your Data strictly confidential in accordance with the confidentiality provisions of the Master Subscription Agreement. The Application Owner may contact you from time to time by e-mail with special offers in relation to the Service and/or its other Apps offered through the Salesforce.com App Exchange. ##You must not: ##- copy, in whole or in part, the Service or any of its related documentation; ##- modify, reverse compile or reverse assemble all or any portion of the Service; ##- rent, lease, distribute or sell the Service, or otherwise make it available to a third party; or ##- create any derivative works of the Service.##Your use of the Service is at your sole risk. You acknowledge the Service is provided upon an "as is" and “as available” basis and that all express or implied warranties are hereby expressly disclaimed and excluded by the Application Owner. In particular, no express or implied warranty is given as to: merchantability, fitness for purpose, non-infringement; performance; that the Service will function uninterrupted, securely or be available at any particular time or location; that any errors or defects will be corrected; that the Service is free of Malicious Code; or that the results of using the Service will meet your requirements.##In no event shall the Application Owner or any of its affiliates, employees, contributors, contractors, agents, officers or directors (“Application Owner Parties”) be liable to You or to any third party for any loss of any kind arising in any way out of Your use of the Service, whether direct, indirect, incidental or consequential (even if You have previously advised of the possibility thereof); or for any special, exemplary, or other damages; and whether caused or arising under any theory of liability, whether in contract, strict liability, or tort (including negligence) or otherwise; and whether for the cost of procurement of substitute goods or services; for loss of use, data, profits or opportunity; or for business interruption or otherwise. You agree to defend, indemnify and hold harmless the Application Owner Parties from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorneys’ fees), resulting from or otherwise arising out of your use of the Service.##You consent to the Application Owner’s use of your organisation’s name and logo on its website and in other promotional materials, for the purpose of listing Your organisation as a user of the Service. You may however withdraw such consent at any time by notifying the Application Owner at firstname.lastname@example.org who will discontinue such use following receipt of such notice.##If you have any questions about these Terms, please email email@example.com.
