Master Subscription Agreement##THIS AGREEMENT GOVERNS YOUR ACQUISITION AND USE OF OUR SERVICES (“Astonous Ship”).##This Master Subscription Agreement (this "Agreement") is effective from the first date of use ("Effective Date") of Astonous Ship between Your Company, together with its Affiliates ("You" or “Your”), and Astonous Cloud Solution Pvt. Ltd. (referred to as Astonous or "Us").##By accepting this Agreement, either by clicking a box indicating your acceptance or by executing an order form that references this Agreement, you agree to the terms of this Agreement. If you are entering this Agreement on behalf of a company or legal entity, you represent that you have the authority to bind such entity and its Affiliates to these terms and conditions. In such a case, the terms "You" or "Your" shall refer to that entity and its Affiliates. If you do not have such authority, or if you do not agree with these terms and conditions, you must not accept this Agreement and may not use the Services.##Astonous Cloud Solution Pvt. Ltd. provides access to “Astonous Ship” and offers maintenance and support for said applications ("Services"). Astonous desires to provide the Services under the terms and conditions set forth in this Agreement. By permitting You access to the proprietary Astonous Ship, You accept all the terms in this Agreement.####Restrictions on Use##Unless otherwise provided in the Agreement, the Services may only be reproduced, distributed, transmitted, or modified with written permission from Astonous. Copying of code or concepts within the Services is expressly forbidden.##You may not access the Services if you are a direct competitor unless you obtain prior written consent. Additionally, monitoring service availability, performance, or functionality for benchmarking or competitive purposes is prohibited.####1. Definitions##Affiliate: Any entity that controls, is controlled by, or is under common control with another entity. "Control" means the direct or indirect ownership or control of more than 50% of voting interests.##AppExchange: Salesforce’s online directory for applications that interoperate with Salesforce, available at http://www.salesforce.com/appexchange.##Order Form: A document for placing orders under this Agreement, including any addenda or supplements.##Org, Sandbox Org, Production Org: Virtual spaces (instances) provided by Salesforce.com that store data, customizations, and applications.##Purchased Services: Services purchased under an Order Form, distinct from free trial services.##Astonous Ship: The software product provided by Astonous as a service.##Users: Authorized individuals who use the Services.##Your Data: Data submitted by You or on Your behalf in connection with the Services.####2. Services##2.1 Right to Access Services##Subject to this Agreement, Astonous grants You a non-transferable, non-sublicensable, non-exclusive right to access the Services during the Trial Period or Subscription Term, as specified in the Order Forms.##2.2 Your Responsibilities##Ensure user compliance with this Agreement.##Be responsible for the accuracy, quality, and legality of Your Data.##Prevent unauthorized access and notify Astonous promptly of any breaches.##Use the Services only in accordance with the User Guide and relevant laws.##2.3 Users##You may access the Services only for the maximum number of Users as specified in the Order Form.##2.4 Support##Astonous will provide relevant support for Astonous Ship. We are available from 9:00 AM to 10:00 PM IST from Monday to Friday excluding public holidays. You can email us at support@astonous.com and we will provide support you in best possible way.##2.5 Upgrades##Upgraded versions of the Software Product may be provided during the term. All risks associated with upgrades are assumed by You, including potential issues with interoperability or compatibility.####3. Fees and Payment for Purchased Services##3.1 Subscription Fees##You agree to pay all Subscription Fees as specified in the Order Forms. All fees are based on the Services purchased, not on actual usage, and are non-cancelable and non-refundable.##3.2 Invoicing and Payment##Subscription Fees will be invoiced in full and in advance, unless otherwise stated in the Order Form. Payment is due immediately upon the date specified in the Order Form. You must provide complete and accurate billing information and notify Astonous of any changes.##3.3 Overdue Charges##Late payments may accrue interest at 1.5% per month or the maximum amount allowed by law.##3.4 Suspension of Service##Astonous reserves the right to suspend access to the Services if payment is more than 30 days overdue, with prior notice of at least 10 days.##3.5 Payment Disputes##Astonous will not suspend the Services if You are disputing charges in good faith and cooperating to resolve the issue.##3.6 Taxes##Fees do not include taxes. You are responsible for all applicable taxes, except for taxes based on Astonous’s net income.##3.7 Future Functionality##Purchases are based on existing features. Future functionality is not guaranteed, even if discussed orally or in writing.##3.8 Price Changes####We may change Our prices for User Subscriptions at any time upon ninety (90) days written notice to You before the commencement of any renewal Subscription Term unless stated on the Order form.######4. Term and Termination##4.1 Term of Agreement##This Agreement starts upon installation of Astonous Ship and continues until all User subscriptions expire or are terminated.##4.2. Term of Purchased User Subscriptions. User subscriptions purchased by You commence on the start date specified in the applicable Order Form and continue for the Subscription Term specified therein. Except as otherwise specified in the applicable Order Form, all User subscriptions shall automatically renew for additional periods equal to the expiring Subscription Term or one year (whichever is shorter), unless either party gives the other notice of non-renewal at least 30 days before the end of the relevant Subscription Term.##4.3 Termination##Either party may terminate this Agreement for cause with 30 days' written notice if the breach is not remedied.##4.4. Refund or Payment upon Termination. There are no refunds for any fees paid. You of the obligation to pay any fees payable to us for the period prior to the effective date of termination.######5. Proprietary Rights##Astonous Ship is licensed, not sold. You may not copy, modify, reverse engineer, or attempt to derive the source code.####6. Warranty##The Services are provided “AS IS” with no warranties regarding uninterrupted service. Dependencies on third-party vendors, such as Salesforce or UPS, may impact performance.####7. Confidentiality##Both parties agree to protect each other’s Confidential Information with the same degree of care used to protect their own.####9. Indemnification##Astonous will indemnify You for claims arising from the Services.##You will indemnify Astonous for claims resulting from misuse of the Services.####10. Severability and Waiver##If any provision is found to be invalid, the remainder of the Agreement remains enforceable.####11. General Provisions##Assignment: Neither party may assign this Agreement without written consent, except in the case of mergers or acquisitions.##Export Compliance: Both parties will comply with export laws.##Anti-Corruption: Both parties must comply with anti-bribery laws.####Execution##By installing this product, You agree to this Agreement and certify that You have the legal authority to do so.
