RingCentral End User License Agreement and Terms of Service for the RingCentral App for Salesforce.com##IF YOU DO NOT AGREE TO THE TERMS OF THIS END USER LICENSE AGREEMENT AND THESE TERMS OF SERVICE (COLLECTIVELY, THE “AGREEMENT”), DO NOT DOWNLOAD, INSTALL, OR USE THE RINGCENTRAL APP FOR SALESFORCE.COM (THE “RC SALESFORCE APP”) OR THE RINGCENTRAL SERVICES (THE “SERVICES”).##BY DOWNLOADING, INSTALLING, OR USING THE RC SALESFORCE APP OR SERVICES, YOU AGREE TO ABIDE BY AND COMPLY WITH THIS AGREEMENT, AND YOU AFFIRM THAT YOU EITHER ARE OVER THE AGE OF MAJORITY IN YOUR JURISDICTION OF RESIDENCE, ARE AN EMANCIPATED MINOR, OR POSSESS LEGAL PARENTAL OR GUARDIAN CONSENT, AND THAT YOU ARE FULLY ABLE AND COMPETENT TO ENTER INTO THE TERMS, CONDITIONS, OBLIGATIONS, AFFIRMATIONS, REPRESENTATIONS, AND WARRANTIES SET FORTH IN THIS AGREEMENT.##THE RC SALESFORCE APP AND SERVICES ARE INTENDED FOR GENERAL BUSINESS USE ONLY. THEY ARE NOT DESIGNED, MANUFACTURED, INTENDED, OR RECOMMENDED FOR USE OR RESALE AS EQUIPMENT OR SERVICES IN ENVIRONMENTS REQUIRING FAIL-SAFE PERFORMANCE (E.G., EMERGENCY MEDICAL CARE, HAZARDOUS ACTIVITIES) OR IN WHICH THE FAILURE OF THE SERVICES COULD LEAD TO DEATH, PERSONAL INJURY, OR SEVERE PHYSICAL OR ENVIRONMENTAL DAMAGE. RINGCENTRAL SPECIFICALLY DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTY OF FITNESS FOR HIGH RISK ACTIVITIES OR SERVICES.##This Agreement governs Your use of the RC Salesforce App. This Agreement is between RingCentral, Inc. and its affiliates (“RingCentral”) and the legal entity you represent in installing and using the RC Salesforce App (“You”). If You are an individual entering this Agreement on behalf Your company, You represent and warrant that You have the authority and are competent to do so.##1. Your Use of the RC Salesforce App and the Services Is Governed By the General RingCentral EULA##Your use of the RC Salesforce App and the Services is governed by RingCentral’s End User License Agreement and Terms of Service (the “General EULA”), available at http://www.ringcentral.com/legal/eulatos.html. The terms of the General EULA are hereby incorporated by reference into this Agreement. The RC Salesforce App shall be deemed an “Application,” and Your use of the RC Salesforce App shall be deemed use of the “Service,” under the General EULA. In addition to the terms herein, Your use of the RC Salesforce App shall be governed by the terms of the General EULA. In the event of any conflict between the General EULA and this Agreement, the terms of this Agreement shall control Your use of the RC Salesforce App.##2. Salesforce.com Administrators##Other than as expressly set forth in the Administrator Guide and any other documentation provided with the RC Salesforce App, RingCentral does not provide any guidance or advice on how You and Your Salesforce.com administators (“Administrators”) should install or operate the RC Salesforce App or how the RC Salesforce App may affect Your Salesforce.com account. You hereby acknowledge that Your Administrators are sufficiently trained and experienced to integrate the RC Salesforce App into Your Salesforce.com account. ##RingCentral shall not be liable for any damages incurred by You due to the improper use or configuration of the RC Salesforce App or your Salesforce.com account.##3. Use Policies##In addition to the use policies set forth in the General EULA, You shall not use the RC Salesforce App in any way that violates Your end user license agreement, terms of use, or any other agreement with Salesforce.com. In the event You learn that the RC Salesforce App is being used in any way that violates these provisions, You shall promptly use Your best efforts to cease such activity as soon as possible.##4. Warranty Disclaimer##IN ADDITION TO THOSE WARRANTIES DISCLAIMED UNDER THE GENERAL EULA, RINGCENTRAL MAKES NO WARRANTIES THAT THE RC SALESFORCE APP SHALL NOT CAUSE DISRUPTIONS, ERRORS, LOSS OF DATA, LOSS OF USE, OR OTHER PROBLEMS WITH YOUR SALESFORCE.COM ACCOUNT OR ANY COMPUTER ON WHICH THE RC SALESFORCE APP IS INSTALLED. RINGCENTRAL IS NOT RESPONSIBLE FOR ANY DAMAGES OR HARM ARISING FROM YOUR INSTALLATION OR USE OF THE RC SALESFORCE APP.##RINGCENTRAL DOES NOT WARRANT THE RC SALESFORCE APP SHALL OPERATE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECT IN THE RC SALESFORCE APP WILL BE CORRECTED.##5. Modifications to this Agreement##RingCentral may change the terms of this Agreement from time to time in its sole discretion. Modifications to this Agreement shall be subject to Section 33 of the General EULA. You agree to abide by the obligations imposed on You as set forth therein.
